Below, you'll find our detailed Terms of Service. By using our services and website, you agree to be bound by these terms, as well as our Privacy Policy.

Overview of Our Terms of Service

These Terms of Service (“Terms”) govern your use and access to the services, products, software, and websites (“Services”) provided by Texan Registered Agent LLC and any of our affiliates (collectively referred to as “company”, “we”, “us”, or “our”).
By using our Services or this website, you agree to comply with and be bound by these Terms. If you do not agree with these Terms or the terms outlined in our Privacy Policy, please do not use our Services or website.

These Terms and the terms of our Privacy Policy together constitute the entire agreement between you and us regarding our Services and websites.
These Terms supersede and replace any prior or contemporaneous agreements or terms and conditions that may apply. No third-party beneficiary rights are created by these Terms.
We may update or revise these Terms from time to time, and the most current version will always be posted on our website. By continuing to use or access the Service after any revisions are made, you agree to be bound by the updated Terms.
Our failure to enforce any provision of these Terms does not waive our right to do so in the future.
If any provision of these Terms is deemed unenforceable, the remaining provisions will remain in full force and effect. You may assign your rights and obligations under these Terms with our prior written consent. We will not unreasonably withhold our consent. We reserve the right to assign our rights or obligations to any successor in interest of any business related to the Services.

Acceptable Ways to Use Our Websites & Services

By using texasregisteredagent.net and our Services, you agree not to, nor permit any third party to, directly or indirectly access or monitor any material or information on our systems using manual processes, robots, spiders, crawlers, scrapers, or any other automated means. You also agree not to violate any restrictions in our robot exclusion headers or bypass, circumvent, or work around any technical limitations of the Services. Additionally, you agree not to use any tool to enable features or functionalities that are otherwise disabled in the Services, or decompile, disassemble, or reverse engineer the Services, except where such restrictions are expressly prohibited by law.
You must not perform or attempt actions that would interfere with the proper functioning of the Services, or prevent other customers from accessing or using the Services. Copying, reproducing, altering, modifying, creating derivative works, publicly displaying, republishing, uploading, posting, transmitting, reselling, or distributing any material, information, or Services from us in any way is also prohibited.
You may not access or cause anyone to access any account, information, or material outside of your authorized online account. Furthermore, you agree not to use any Service in violation of applicable laws, rules, regulations, or an individual’s rights, nor upload anything to our systems that violates laws, rules, regulations, or an individual’s rights. Transferring any rights granted to you under these Terms or using the Services except as expressly permitted by these Terms is also prohibited.
In the course of providing Services and improving our operations, we may interact with information related to your account, including materials you upload. If we reasonably suspect that your account has been used for unauthorized, illegal, or criminal purposes, you authorize us to share information about you and your account with law enforcement.

Use of Address

Your ability to use our address is strictly dependent on the Service you purchase from us. For example, if only registered agent service is purchased from us, then our address may only be used for the strict purpose of supplying individuals and organizations with notice of who and where to serve any service of process or legal notice. Alternatively, if you have purchased other Services from us, then specifics of how to use our address will be contained within subsequent written communications which are incorporated into these Terms by reference herein.

Our Filing and Registered Agent Services

Authorization to Receive Service of Process & Other Legal Documents As part of our duties as your registered agent, you authorize us to receive service of process, important communications, and legal documents of any kind (“Legal Documents”) on your behalf. You authorize us to receive up to 15 Legal Documents on your behalf per year. We reserve the right, and you agree, that a fee may be applied to your account for Legal Documents received above the current 15 per year limit. You also acknowledge and agree that this fee may be subject to change at our discretion. You also agree that we can open, scan, upload, and transmit the Legal Documents into your account as part of our Services. Registered agent services are limited to receiving service of process and forwarding Legal Documents; they do not include the receipt of general or regular mail or other items. As a result, we do not assume liability for the loss of mail or items that are not Legal Documents. Working with Third-Party Service Providers We may work with third-party providers to deliver some of the registered agent services. You acknowledge and agree that these service providers may assist us in fulfilling our duties. Provision of Accurate and Current Information You are responsible for ensuring that all information provided to us is accurate, complete, and up to date. You agree to notify us immediately of any changes to your information. The accuracy of filings we make on your behalf depends on the information you provide. Failure to maintain accurate information is considered a material breach of these Terms and may result in the immediate termination of services. Regular Documents Not all documents received by our office are the same. Documents that are not communications from the Secretary of State related to your company's registration or documents related to legal service of process are considered “Regular Documents.” Depending on the services you’ve purchased, there may be limits on how many Regular Documents we can accept without additional fees. You agree to pay any applicable fees for Regular Documents that exceed your service limit, including for forwarding physical documents. We are not liable for missed deadlines or time-sensitive Regular Documents, regardless of whether they fall within your service limit. Destruction of Documents We do not retain original copies of documents indefinitely. Clients and their beneficiaries are expected to act promptly to request any necessary documents be forwarded. Unless otherwise agreed in writing, forwarding requests will be at the client’s expense. All documents and mailings are destroyed 30 days after being scanned into our system. Electronic Records and Signatures We may need to file documents on your behalf, and by agreeing to these Terms, you consent to us affixing your electronic or hard copy signature to such documents as needed for filing.

Document Storage Policy

Using the document upload feature in your client portal is optional and a benefit provided to users with an online account. In order to use this feature, you must first set up an online account with us. We grant you permission to use this feature as long as you adhere to our Terms, including our Privacy Policy and any relevant service-specific supplements.
You are not required to use the document storage feature, but if you choose to do so, you agree not to upload or store any materials for which you do not hold the necessary rights, or any content that is illegal, harmful, destructive, or otherwise illicit. We reserve the right to review your conduct and content for compliance with these Terms. If we determine, at our sole discretion, that you have violated these Terms, we may terminate any and all services associated with your account. It is your responsibility to ensure that you comply with these Terms.

Corporate Transparency Act

As a company, we provide the online tools and software needed to facilitate your business formation. We do not have individuals personally involved in your business formation process. Therefore, our employees do not fall under the definition of "Company Applicant" as per 31 CFR 1010.380(e), unless specifically instructed by a State or Federal authority.
Regarding Beneficial Ownership Information (BOI), the Corporate Transparency Act requires that, along with the names and addresses of all beneficial owners, photographic identification in the form of a passport, state driver’s license, or state-issued identification for each beneficial owner must be submitted to FinCEN. All documents and images provided for the BOI report will be encrypted at rest and securely transmitted. Additionally, all information related to your entity’s BOI report will expire after 90 days and will be deleted from our servers.
